Our client is a niche consulting firm established in 2013 who specialists in managing the legal implementation of transfer pricing policies and group reorganisations. They are looking to hire a senior corporate/commercial lawyer to join their in-house team, working on a fully-remote basis. 

Role Profile:

 

  • Primarily acting for multinational groups, including those headquartered in the US, UK and the rest of Europe.
  • Working in conjunction with international tax and transfer pricing professionals (both in-house and in advisory firms).

Focus on the legal aspects of transfer pricing compliance (training will be provided on this). This involves:

  • Designing, drafting, implementing and maintaining intercompany agreements (contractual arrangements between legal entities in a multinational group.
  • Advising on the international legal aspects of cross-border corporate structures (including corporate simplification projects, debt simplification projects, other group reorganisations).
  • Training will be provided on intercompany agreements and the legal aspects of transfer pricing compliance (note: ‘transfer pricing’ is the international set of rules which influence the design and pricing of transactions between related parties, such as the members of a corporate group. Typical transactions include supply of services, distribution and manufacturing arrangements, the licensing of IP and profit splits).

Core technical skills / competencies required:

  • Contract drafting: must be able to draft contracts independently, using a template / sample / precedent as a starting point, and tailoring / free drafting as needed.
  • Corporate law aspects of group reorganisations: should be able to analyse a group reorganisation and break down the legal elements involved, and create a draft documents list.
  • Corporate governance: needs a strong foundation in company law e.g. directors’ duties, board minutes and resolutions, shareholder resolutions.
  • Awareness of transfer pricing and international tax issues (training will be provided on intercompany agreements and the legal aspects of transfer pricing compliance) would be an advantage but not essential.
  • Experience of cross-border reorganisations projects.
  • Commercial awareness (e.g. exposure to M&A, commercial contract negotiation, joint ventures, IP rights etc).
  • Awareness of the basics of company accounts.
