Legal Counsel/ Head of Legal - Glasgow

International Consulting firm is looking to hire a Senior level Legal Counsel to head up their UK business. This role can be based in London or Glasgow and is a Part-Time Position (3/4 days a week).

Role Profile:

As Legal Counsel, you will be responsible for providing expert legal guidance and support across a range of commercial, regulatory, and contractual matters. You will work closely with internal stakeholders, clients, and external legal teams to ensure that all legal aspects of the business are effectively managed. This role requires a strategic thinker with a deep understanding of legal frameworks, regulatory compliance, and commercial negotiations, particularly in complex and high-stakes environments.

Responsibilities:

  • Contract & Term Negotiations: Lead negotiations on terms and contracts for large,complex clients and partnerships, ensuring the best outcomes for the business while minimising risks.
  • Drafting Tailored Contracts: Prepare and customize contracts for major clients and partnerships, addressing specific legal and commercial requirements.
  • Client Engagement: Collaborate directly with clients' or prospects' legal counsel throughout the commercial process, providing legal input as needed.
  • New Product Development (NPD) & Consulting Setup: Provide legal oversight on the setup of new products and consulting arrangements, focusing on contractual, risk, and regulatory issues (e.g., stamp duty, invoice finance, carbon reporting, advanced funding).
  • Non-Disclosure Agreements (NDAs): Draft, review, and tailor NDAs, ensuring they align with the specific requirements of each engagement.
  • Anti-Money Laundering (AML) & Politically Exposed Persons (PEP) Guidance: Offer expert advice and guidance on AML and PEP issues during the commercial negotiation stage and throughout the engagement.
  • Dispute Resolution: Provide legal support in managing service or contract disputes, offering advice on Best Endeavour Practice (BEP) and other relevant issues.
  • Money Laundering Reporting Officer (MLRO): Act as the MLRO for HMRC compliance, ensuring adherence to legal obligations related to AML.
  • Sanctions Compliance: Ensure the business complies with sanctions regimes and provides advice on dealings with sanctioned individuals or entities.
  • GDPR & Data Breaches: Manage legal aspects related to data privacy, including handling GDPR compliance, data breaches, and providing guidance on Data Subject Access Requests (DSARs).
  • Employment Law: Advise on legal concerns related to DSARs, customer complaints and compliance with regulatory standards.

Candidate Requirements:

 

  • Fully qualified lawyer admitted to practice in the UK with the right to work in the UK. (Dual Scottish and English law is advantageous, however not essential).
  • Commercial Law: Strong understanding of contracts, intellectual property, corporate governance, employment law, and regulatory compliance.
  • Industry-Specific Knowledge: Familiarity with laws and regulations pertinent to financial services with previous experience in acting as both DPO and MLRO.
