VP In-House Corporate Lawyer - Glasgow

Excellent opportunity for a senior level corporate lawyer to make the move in-house and join a global financial institution- this role will be based in Glasgow with hybrid-working on offer. You will work as part of the Group Corporate & Treasury Legal team where you will play a leading role in providing professional advice and efficient legal business partnering core clients (including Corporate Secretariat, Finance, Investor Relations, Treasury, Risk). This role is to act as a Vice President within the corporate sub-team of therefore understanding of English company law and matters relating to an ESCC (Commercial Company equity share)  are required.

Role Profile:

  • To oversee and manage transactional processes, ensuring compliance with legal and regulatory requirements, and maintaining accurate documentation for financial transactions. Accountabilities will include:
  • To ensure that the Transaction Services and Documentation activities are conducted in compliance with applicable laws and regulations, and to help the bank manage legal and reputational risks associated with these activities.
  • Coordination with internal and external stakeholders, including legal counsel, credit risk management, and other departments, to ensure that transactions are executed in a timely and efficient manner.
  • Creation, review, negotiation and management of legal documents such as loan agreements, security documents, and other transactional documents, to ensure execution in a timely and efficient manner. Transaction support, including preparation of transaction summaries, conducting due diligence, and support to other departments as needed.
  • Development and implementation of transaction processes and procedures to ensure that transactions are executed consistently.
  • Pro-active identification, communication, and provision of legal advice on applicable laws, rules and regulations (LRRs). Keeping up to date with regards to changes to LRRs in the relevant coverage area.
  • Ensuring that LRRs are effectively allocated to, and adequately reflected within, the relevant policies, standards and controls.
  • Advise key stakeholders, including functional leadership teams and senior management on functional and cross functional areas of impact and alignment.
  • Manage and mitigate risks through assessment, in support of the control and governance agenda.
  • Demonstrate leadership and accountability for managing risk and strengthening controls in relation to the work your team does.
  • Demonstrate comprehensive understanding of the organisation functions to contribute to achieving the goals of the business.
  • Collaborate with other areas of work, for business aligned support areas to keep up to speed with business activity and the business strategies.
  • Create solutions based on sophisticated analytical thought comparing and selecting complex alternatives. In-depth analysis with interpretative thinking will be required to define problems and develop innovative solutions.
  • Adopt and include the outcomes of extensive research in problem solving processes.
  • Seek out, build and maintain trusting relationships and partnerships with internal and external stakeholders in order to accomplish key business objectives, using influencing and negotiating skills to achieve outcomes.

Candidate Requirements:

  • To be successful in this role you will need to be a qualified lawyer with experience of corporate advisory and experience of UK Companies Act, Disclosure and Transparency Rules, Listing Rules and UK Market Abuse Regulation.
  • The ability to interact with key senior stakeholders, and to present advice in a succinct and solution-oriented manner will also be highly valued.
